The agreement that governs your membership and use of Clubhouse Edina.
1. Agreement to Terms
These Terms and Conditions (“Terms”) govern your membership in and use of the facilities, services, and amenities operated by Clubhouse Edina LLC (“Clubhouse Edina,” “we,” “our,” or “us”), located in Edina, Minnesota. By submitting a membership application or accessing any Clubhouse Edina facility or service, you agree to be bound by these Terms in full.
If you do not agree to these Terms, you may not apply for membership or use our facilities. We reserve the right to update these Terms at any time, with notice provided to members via email. Continued membership after such notice constitutes acceptance of the revised Terms.
2. Membership – By Invitation Only
Membership at Clubhouse Edina is by invitation only. Submission of an application does not guarantee acceptance. We reserve the absolute right to accept, decline, or revoke any application or membership at our sole discretion, for any reason or no reason, including but not limited to conduct, compatibility with the membership community, or capacity constraints.
Membership is personal and non-transferable. Members may not assign, sublicense, or share their membership access, credentials, or privileges with any other person.
- Membership is granted to the individual named in the approved application only.
- Sharing of access cards, codes, or credentials is grounds for immediate termination.
- Memberships lapse if dues are not received within 15 days of the due date.
3. Dues and Payment
Membership dues are billed monthly or annually as specified in your membership agreement. All dues are due in advance of the period to which they apply. Accepted payment methods will be communicated at the time of enrollment.
- Late Payments: Accounts unpaid after 15 days may result in suspension of access. Accounts unpaid after 30 days may result in permanent termination of membership.
- Refunds: Membership dues are non-refundable except where required by applicable Minnesota law. Annual memberships may be credited on a prorated basis at our discretion.
- Price Changes: We reserve the right to adjust dues with 30 days written notice to the member.
4. Cancellation and Termination
By the Member: Members may cancel their membership by providing 30 days written notice to management. Notice must be submitted in writing to the email address listed in Section 12 of these Terms. Dues owed for the notice period remain payable.
By Clubhouse Edina: We reserve the right to suspend or terminate any membership immediately and without prior notice for:
- Violation of these Terms or any posted facility rules.
- Conduct that is disruptive, threatening, harassing, or abusive toward staff, members, or guests.
- Damage to Clubhouse Edina property or the property of other members.
- Providing false information during the application process.
- Any conduct deemed detrimental to the reputation or integrity of Clubhouse Edina.
- Non-payment of dues or other charges.
Terminated members are not entitled to a refund of any prepaid dues unless otherwise required by law.
5. Guest Policy
Members in good standing may bring guests to Clubhouse Edina subject to the following conditions:
- Members must accompany their guests at all times while on the premises.
- The sponsoring member is fully responsible for the conduct of their guests.
- Guest fees, if applicable, will be communicated and are the responsibility of the sponsoring member.
- Guests who violate these Terms or facility rules may be asked to leave, and repeated violations may result in restriction of the member’s guest privileges or termination of membership.
- Guests may not be granted independent access to the facility.
6. Golf Simulators and Recreation Facilities
Use of Clubhouse Edina’s golf simulators, practice bays, and any other recreation equipment or facilities is subject to the following additional terms:
- Members and guests use all recreation facilities entirely at their own risk.
- Proper footwear and attire must be worn at all times in simulation bays.
- Equipment must be used only as intended. Members are financially responsible for any damage caused by misuse.
- Reservation systems, if implemented, must be honored. No-shows may be subject to fees.
- Alcohol consumption in simulation bays is subject to posted rules and staff direction.
- Clubhouse Edina is not responsible for any personal injury arising from use of recreation facilities, except where caused by our proven negligence.
7. Workspace and Co-Working Areas
Private offices, dedicated desks, and co-working spaces are available as specified in each member’s individual plan. The following rules apply to all workspace use:
- Members are responsible for maintaining a professional and respectful environment in all workspace areas.
- Excessive noise, disruptive phone calls, or conduct that interferes with other members’ ability to work is not permitted.
- Members may not store personal property in common areas overnight without prior written authorization.
- Meeting rooms must be reserved in advance where a reservation system is in place and vacated on time to respect subsequent bookings.
- Clubhouse Edina is not responsible for the loss or theft of members’ personal property or business equipment.
8. Code of Conduct
Clubhouse Edina is a private, curated professional community. All members, guests, and visitors are expected to conduct themselves accordingly. The following behaviors are expressly prohibited:
- Harassment, discrimination, or intimidation of any member, guest, or staff member on any basis.
- Use of obscene, threatening, or offensive language on the premises.
- Soliciting other members for business without their expressed consent.
- Recording other members, guests, or staff without their explicit consent.
- Bringing prohibited substances onto the premises.
- Any illegal activity of any kind.
Violations of the Code of Conduct may result in immediate removal from the premises and permanent termination of membership.
9. Food, Beverage, and Hospitality
Clubhouse Edina offers food and beverage service through its restaurant, bar, and lounge. Alcoholic beverages are served only to individuals 21 years of age and older with valid government-issued identification. Clubhouse Edina reserves the right to refuse service to any individual. Members are responsible for all charges incurred by themselves and their guests in hospitality areas.
10. Intellectual Property and Confidentiality
The Clubhouse Edina name, logo, brand elements, and all website content are the intellectual property of Clubhouse Edina LLC and may not be reproduced, distributed, or used without our express written permission.
Members agree to treat the identity and contact information of other members as confidential. The member list and any information shared in member-only events or communications may not be shared, published, or used for solicitation outside of Clubhouse Edina without written consent from Clubhouse Edina management.
11. Limitation of Liability and Indemnification
To the fullest extent permitted by applicable law, Clubhouse Edina LLC, its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your membership or use of the facilities, including but not limited to personal injury, property loss or damage, or business losses.
You agree to indemnify, defend, and hold harmless Clubhouse Edina LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses – including reasonable attorneys’ fees – arising out of or in any way connected with your membership, your use of the facilities, your guests’ conduct, or your violation of these Terms.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising from these Terms or your membership shall be subject to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.
Before initiating any legal proceeding, you agree to contact Clubhouse Edina in writing and allow 30 days for good-faith resolution of any dispute.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Members will be notified of material changes via email at least 14 days before the changes take effect. Continued use of the facilities or maintenance of membership after the effective date of any changes constitutes acceptance of the revised Terms.
